apicule functions as a strategic intermediary in the pharmaceutical supply chain, facilitating the procurement of Active Pharmaceutical Ingredients (APIs) exclusively from Good Manufacturing Practice (GMP)-certified suppliers. Our suite of services encompasses API trading, supplier audits, regulatory consultation, compliance assessments, and comprehensive pharmaceutical supply chain solutions.

While we endeavor to ensure the integrity of sourced products through rigorous vetting procedures, the ultimate responsibility for API quality rests with the supplier, except in cases where apicule has been expressly contracted to conduct an on-site audit, quality verification, and compliance assessment. Additionally, apicule provides guidance on optimizing procurement strategies, risk mitigation, and ensuring adherence to global regulatory
frameworks

2. Role, Responsibilities, and Liabilities

  • API Quality Assurance: apicule does not unconditionally guarantee the quality of supplied APIs unless a supplier has successfully completed our premium audit and certification process. Our audits include thorough checks on manufacturing compliance, documentation verification, and supplier reliability.
  • Regulatory and Compliance Advisory: We offer expert guidance on pharmaceutical regulations and compliance frameworks, tailored to the specific needs of each client. Our team remains up-to-date with evolving global regulatory standards to ensure informed decision-making. In the event of unresolved compliance issues, we commit to conducting a comprehensive review to facilitate an appropriate resolution, as our clientele represents a fundamental pillar of our business.
  • Service Fees and Transactional Facilitation: apicule levies a nominal service charge for trade facilitation. Additionally, in certain instances, we may assume responsibility for logistics, warehousing, and shipping upon explicit client request. Shipping-related engagements may include customs clearance, temperature-sensitive logistics, and risk assessment services.
  • Client Dispute Handling: If a buyer or supplier encounters issues that fall under apicule’s mediation scope, we ensure an impartial resolution process. If a supplier has not allowed us to conduct an audit, apicule bears no liability for quality disputes. However, if apicule has been involved in comprehensive verification, we work closely with all stakeholders to resolve issues fairly.

3. Data Protection, Intellectual Property, and Copyright

  • All data, API directories, supplier databases, trade insights, and regulatory resources available on apicule’s platform are proprietary intellectual property. Any form of unauthorized reproduction, data scraping, redistribution, or commercial exploitation of this information is strictly prohibited.
  • Violation of apicule’s intellectual property rights may result in legal action, including but not limited to lawsuits under relevant United States and Indian copyright statutes.
  • Users are encouraged to report any suspected breaches of apicule’s intellectual property policies to [email protected].
  • Any unauthorized attempt to scrape, extract, or repurpose data from apicule’s platform using automated tools, manual means, or third-party assistance will be subject to strict legal action.

4. Payment Terms and Refund Policy

  • All transactions are final and non-refundable. Fees related to services, consultancy, and facilitated transactions are non-negotiable and non-reversible.
  • Exception Handling: In exceptionally rare circumstances, should a dispute arise due to an unambiguous oversight attributable to apicule, we reserve the discretionary right to determine an appropriate course of resolution.
  • Payments must be made via approved payment gateways. apicule does not take responsibility for financial losses resulting from unauthorized third-party payment transactions.

5. Dispute Resolution in API Transactions

  • Should a transaction fail between a buyer and supplier, apicule will engage in dispute mediation only if the financial transaction was processed through apicule.
  • If payments are exchanged directly between the buyer and supplier without apicule’s involvement, we disclaim any liability pertaining to the transaction’s outcome.
  • If a client has engaged apicule for an audit and quality verification, any quality issues post-approval will be addressed within the agreed remediation framework.
  • If a dispute escalates beyond mediation, clients and suppliers agree to arbitration as per the governing jurisdiction’s legal framework.

6. User Obligations and Compliance Measures

  • Users must furnish verifiable and accurate business credentials when initiating trade inquiries or availing of apicule’s services.
  • apicule reserves the unequivocal right to suspend or permanently terminate accounts that are found to be submitting misleading, fraudulent, or inaccurate information.
  • Misrepresentation of business credentials, falsification of product documentation, or intentional non-compliance with applicable pharmaceutical regulations will lead to permanent blacklisting from apicule’s platform.

7. Governing Law and Jurisdiction

  • apicule operates in adherence to the statutory and regulatory frameworks of both the United States and India.
  • Any disputes, claims, or litigations arising from the use of apicule’s services shall be adjudicated within the jurisdictional purview of the United States and India, contingent on the nature and locus of the dispute.
  • Users agree that all legal proceedings, arbitration, and dispute resolutions shall be conducted within the appropriate jurisdiction based on contractual agreements and trade origin.

8. Third-Party Content and Attribution Acknowledgment

  • apicule acknowledges the integration of open-access images, data, and reference materials sourced from platforms such as PubMed, PubChem, and similar repositories.
  • Such third-party content remains the intellectual property of its respective proprietors, and apicule ensures appropriate citation and attribution where applicable.
  • Where necessary, apicule may obtain third-party permissions or licenses to integrate additional pharmaceutical insights and datasets.

9. Amendments to Terms and Conditions

apicule retains the authority to revise, amend, or update these Terms and Conditions as necessitated by regulatory changes, business expansion, or operational realignments. Continued engagement with our platform post-revision constitutes implicit acceptance of the modified terms.
